Terms of Service

GreenBox (operated by Shorai Tech Private Limited)

These Terms of Service ("Terms") govern access to and use of the GreenBox WhatsApp community, waitlist, website, and (upon launch) in-app ordering service (together, the "Service"), operated by Shorai Tech Private Limited ("GreenBox," "we," "us," or "our"). By joining the WhatsApp community, submitting the waitlist form, or otherwise using the Service, you ("User," "you") agree to be bound by these Terms.

1. Eligibility

Use of the Service is limited to individuals aged 18 or older. By using the Service, you represent that you meet this requirement and that all information provided to GreenBox is accurate.

2. Description of Service

GreenBox operates a marketplace connecting restaurant partners in Bengaluru ("Restaurant Partners") that have unsold surplus food with Users seeking to purchase such food at a discount. GreenBox does not itself prepare, cook, or package food. Each item is prepared and sold by the relevant Restaurant Partner, who is solely responsible for the quality, safety, and hygiene of that item. GreenBox's role is limited to facilitating discovery, coordinating reservations, and arranging pickup or delivery.

3. Current Stage of Service

The Service is currently in a pre-launch stage. Joining the WhatsApp community or submitting the waitlist form does not constitute an order and does not create a contract for the sale of any food item. Upon launch of in-app ordering, Users will be able to reserve and pay for surplus items subject to these Terms and the then-current Refund & Cancellation Policy.

4. User Obligations

Users agree to:

(a) provide accurate information, including name and phone number;

(b) use the WhatsApp community appropriately, and refrain from spam, abusive conduct, or unrelated promotional content;

(c) upon launch, collect or accept delivery of reserved items within the communicated timeframe, and pay the price shown at the time of reservation; and

(d) refrain from any conduct intended to defraud GreenBox or a Restaurant Partner.

5. Availability of Surplus Items

Restaurant Partners determine the type, quantity, and price of surplus items listed, based on end-of-day availability. Because surplus quantities are inherently unpredictable, availability of any specific item is not guaranteed, and a Restaurant Partner may be unable to fulfil a reservation after it has been made. Such circumstances are addressed in the Refund & Cancellation Policy.

6. Pricing and Payment

Upon launch of in-app ordering, prices will be displayed within the application at the time of reservation, and payment will be collected through GreenBox's designated payment processor. Whether the original price will be displayed alongside the discounted price will be confirmed prior to launch.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) GreenBox is not liable for the quality, safety, or condition of food prepared by a Restaurant Partner, responsibility for which rests solely with that Restaurant Partner;

(b) GreenBox is not liable for delays, unavailability, or other circumstances outside its reasonable control; and

(c) GreenBox's aggregate liability to a User for any claim arising from use of the Service shall not exceed the amount paid by that User for the order giving rise to the claim.

Nothing in these Terms limits any right available to a User under applicable Indian consumer protection law that cannot lawfully be excluded or limited by agreement.

8. Indemnification

Users agree to indemnify GreenBox against any loss arising from their misuse of the Service or breach of these Terms, to the extent permitted by law.

9. Intellectual Property

The GreenBox name, logo, and related content are the property of Shorai Tech Private Limited and may not be used without prior written permission.

10. Suspension and Termination

GreenBox may suspend or terminate a User's access to the Service where it reasonably believes these Terms have been violated. Users may leave the WhatsApp community or request removal from the waitlist at any time.

11. Amendments

GreenBox may revise these Terms from time to time, including as the Service transitions to full in-app ordering. Material changes will be reflected by an updated effective date.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute not resolved directly with GreenBox shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
